Terms & Conditions
1. Introduction
These Terms & Conditions (“Terms”) govern access to and use of the Selekted platform (“Platform”, “Selekted”, “we”, “us”, or “our”).
By accessing, registering with, or using the Platform, any individual or entity, including employers (“Employers”) and recruiters (“Recruiters”), agrees to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Nature of the Platform
Selekted operates solely as an intermediary platform facilitating introductions between Employers and independent Recruiters.
Selekted:
Does not employ Recruiters;
Does not act as a recruitment agency, employment agency, or employment business; and
Is not a party to any agreement, engagement, or contractual relationship between Employers and Recruiters.
All hiring decisions, engagements, and resulting outcomes remain the sole responsibility of the respective parties.
3. Eligibility and User Obligations
By using the Platform, users represent and warrant that they:
Provide accurate, current, and complete information;
Are legally authorized to operate in their jurisdiction; and
Will comply with all applicable laws and regulations.
Selekted reserves the right, at its sole discretion, to approve, suspend, or terminate any user account without prior notice or liability.
4. Recruiter Vetting
Selekted maintains a curated network of Recruiters. Submission of an application does not guarantee acceptance.
Selekted reserves the right to:
Conduct background and experience reviews;
Request supporting documentation; and
Accept or reject any application at its sole discretion, without obligation to provide reasons.
5. Platform Operation
The Platform operates as follows:
An Employer submits a hiring request;
Selekted introduces relevant Recruiters;
Recruiters submit candidate profiles;
The Employer conducts interviews and makes hiring decisions;
Upon successful placement, fees become payable in accordance with these Terms.
Selekted does not guarantee the quality, suitability, or availability of candidates.
6. Placement Fees
Recruiters determine their placement fees, typically expressed as a percentage of the candidate’s gross annual salary.
Upon acceptance and signing of the employment offer by the candidate, the Employer shall be liable for the full placement fee.
The invoice shall be issued on the candidate’s acceptance date and is payable within fourteen (14) days from the invoice date.
Payment obligations are independent of the guarantee period and shall not be deferred, delayed, or made conditional upon the candidate’s start date or continued employment.
Selekted shall retain a platform fee, calculated as 3% of the candidate’s annual salary, prior to remitting any balance to the Recruiter.
7. Payment Terms
Upon acceptance of an offer by a candidate, the Employer shall be liable to pay the full placement fee to Selekted within the agreed payment terms.
Selekted shall remit the applicable portion of the fee to the Recruiter only after:
Receipt of full payment from the Employer; and
Completion of any applicable guarantee period, subject to these Terms.
8. Payment Contingency
Payment to Recruiters is strictly contingent upon Selekted receiving full and cleared funds from the Employer.
Selekted shall bear no liability whatsoever for any non-payment, delayed payment, or partial payment by an Employer, and shall have no obligation to compensate Recruiters in such circumstances.
9. Guarantee Period and Refunds
A guarantee period of two (2) months shall apply to all placements.
If a candidate’s employment is terminated within this period due to performance, suitability, or other non-structural reasons, the placement fee may be refunded to the Employer.
Exclusions include, but are not limited to:
Employer restructuring;
Redundancy or layoffs;
Role elimination or material changes to the position.
Where a refund applies:
The Recruiter may forfeit entitlement to payment; and
Any previously paid amounts may be subject to clawback.
10. Non-Payment by Employers
In the event of non-payment by an Employer, Selekted may undertake reasonable efforts to recover outstanding amounts, including invoicing follow-ups and escalation procedures.
However:
Selekted does not guarantee recovery of any unpaid fees;
The Employer remains solely liable for all payment obligations; and
Selekted shall not be held liable for any failure by an Employer to make payment.
Recruiter payment remains strictly contingent upon receipt of funds from the Employer.
11. Candidate Ownership
Where multiple Recruiters submit the same candidate, ownership shall be attributed to the Recruiter who first introduced the candidate via the Platform, as determined by timestamp or verifiable evidence.
If an Employer demonstrates prior contact with the candidate:
Within one hundred eighty (180) days prior to submission; and
Supported by reasonable documentation;
then the Employer shall retain ownership, and no placement fee shall be payable.
Selekted reserves the right to determine candidate ownership at its sole discretion.
12. Non-Circumvention
Employers and Recruiters agree not to circumvent the Platform to avoid payment of fees.
Any direct or indirect engagement outside the Platform following an introduction through Selekted shall constitute a material breach of these Terms.
Selekted reserves the right to:
Suspend or terminate user access; and
Pursue recovery of lost fees and damages.
13. Conduct and Termination
Users shall act in good faith and in a professional manner at all times.
Selekted reserves the right to suspend or terminate access where users:
Attempt to circumvent the Platform;
Engage in fraudulent, unethical, or misleading conduct; or
Attempt to establish off-platform agreements contrary to these Terms.
14. Dispute Resolution
In the event of a dispute between an Employer and a Recruiter, Selekted may, at its sole discretion, review the matter and issue a determination.
Users agree to cooperate in good faith and accept Selekted’s determination as final in matters relating to Platform use.
15. Limitation of Liability
To the fullest extent permitted by law, Selekted shall not be liable for:
Disputes between Employers and Recruiters;
Hiring decisions or candidate performance;
Employment outcomes;
Loss of revenue, profit, or business opportunity; or
Non-payment by Employers.
Selekted’s total liability shall not exceed the platform fees received in relation to the relevant placement.
16. Indemnification
Users agree to indemnify, defend, and hold harmless Selekted from any claims, liabilities, damages, losses, or expenses arising from their use of the Platform or breach of these Terms.
17. Data Protection and Confidentiality
Users shall:
Maintain the confidentiality of all shared information;
Use personal and business data solely for legitimate purposes; and
Comply with all applicable data protection laws and regulations.
18. Amendments
Selekted reserves the right to amend these Terms at any time. Continued use of the Platform following such amendments constitutes acceptance of the updated Terms.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands.
